Representative Matters
Energy Litigation
- Handle energy litigation matters for E&P companies, oilfield service companies, and interstate and intrastate pipelines relating to contract leases, operating agreements, gas purchase contracts, and well servicing contracts.
- Royalty interest litigation between landowners, royalty owners, and operators regarding operating agreements, joint venture agreements, farmout agreements, and related disputes between working interest holders.
- Division order litigation involving working interest owners, royalty owners, and overriding interest owners.
Commercial and Corporate Litigation
- Represent clients in business litigation disputes in state courts and arbitration proceedings, including general corporate matters, shareholder and director disputes, director liability matters, contract disputes, employment matters including non-competition agreements, tortious interference with contracts, business defamation, and fraud.
- Representation of a publicly traded corporation in the settlement of a shareholder and director dispute.
Energy Transactional
- Lead counsel for dissolving an oil and gas partnership. The partnership had over 200 properties in 20 counties and parishes in Texas and Louisiana. Upon creating an adequate legal property description, I was able to award the client with over $100,000 in suspended revenue.
- Represent E&P companies, landowners, and royalty interest holders in energy transactions, including leases, surface and subsurface agreements, seismic licensing, exploration agreements, and purchase/sale agreements.
Business Transactional
- Draft commercial and industrial leases for E&P and service companies relating to corporate headquarters, sales offices, distribution warehouses, and coastal docks.
- Review E&P and service companies risk allocation documents to ensure proper indemnity and insurance provisions are inserted into master service agreements.
- Structure, document, and create corporate entities for business ventures, including corporations, joint ventures, partnerships, and limited liability companies.
International
- Advise domestic and foreign corporations on doing business in the United States and internationally regarding compliance regulations, import and export law, bilateral and multilateral trade agreements, and international commercial law.
